"GOLDEN BALL" SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY TO WIN. MUST BE 18 YEARS OF AGE OR OLDER TO ENTER. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1) SPONSOR: The “Golden Ball” Sweepstakes (“Contest”) is administered and sponsored by Top Golf USA, Inc. (“Sponsor”).

2) AGREEMENT TO OFFICIAL RULES: By entering the Contest, Entrants (as defined below) agree to be bound by the following general conditions (“Official Rules”) and decisions of Sponsor, which are final and binding in all matters relating to the Contest. Winning the prize is contingent upon fulfilling all requirements set forth herein.

3) CONTEST DATES: The Contest runs from December 20, 2024, at 9:00 AM CST until December 30, 2024, at 11:59 PM CST (“Contest Period”) and is subject to the Official Rules. Sponsor’s servers are the official time-keeping device for the Contest. The Participating Topgolf Venue (as defined in Section 6) is closed on December 25, 2024.

4) ODDS OF WINNING:Odds of winning the prize depend on the number of eligible entries received during the Contest Period. Any attempt or suspected attempt to submit entries by using multiple e-mail addresses or social media accounts, or any use of robotic, bot, automatic, programmed, or any entry methods not authorized by these rules shall be deemed as tampering and will void all of your entries.

5) WHO CAN ENTER: The Contest is open to all legal residents of the United States (including the District of Columbia) excluding residents of Florida, New York, Rhode Island the U.S. Virgin Islands, and other U.S. territories and possessions and where prohibited by law who have reached the age of 18 at the time they enter the Contest. Employees, agents and representatives of Topgolf and/or of any of Topgolf’s respective subsidiaries, affiliated companies, controlling corporations, advertising or promotion agencies, sponsors, suppliers of materials, prizes and services related to the Contest, or any other person directly associated with the organization of the Contest, as well as members of their immediate families (father, mother, brothers, sisters, children), their legal or common law spouse, and any persons residing with these employees, representatives and agents are not eligible to participate.

6) HOW TO ENTER:NO PURCHASE NECESSARY. There are two ways to enter the Contest:

(A) IN-PERSON METHOD OF ENTRY

To enter in person, you must play a game of Topgolf at the Austin, Texas venue located at 2700 Esperanza Crossing, Austin, TX 78758 (the “Participating Topgolf Venue”) during the Contest Period (“In-Person Entry”). Golden golf balls will be randomly distributed throughout the Participating Topgolf Venue during Topgolf gameplay throughout the Contest Period. If you receive a golden ball, you must bring the golden ball to a Topgolf Playmaker. Once Topgolf management verifies the golden ball, a Topgolf employee will provide you with a Topgolf scratch-off ticket. The Topgolf scratch-off may result in winning one of the prizes, as further set forth in Section 8. Once you receive a Topgolf scratch-off, you will have the option to enter the drawing for the Grand Prize (as defined in Section 8) by providing your complete and accurate contact information (first name, last name, phone number, email address, state of residence, ZIP code and date of birth) as well as confirming that you have read and accept these Official Rules. After completing these steps, you will then receive on (1) entry into the Contest. You are not required to enter into the drawing for the Grand Prize but will have the option to enter upon receiving a Topgolf scratch-off ticket.

Once you receive a Topgolf scratch-off, you will have the option to enter the drawing for the Grand Prize (as defined in Section 8) by providing your complete and accurate contact information (first name, last name, phone number, email address, state of residence, ZIP code and date of birth) as well as confirming that you have read and accept these Official Rules. After completing these steps, you will then receive on (1) entry into the Contest (a “Grand Prize Entry”). You are not required to enter into the drawing for the Grand Prize but will have the option to enter upon receiving a Topgolf scratch-off ticket.

(B) MAIL-IN ENTRY

To enter without purchase or without visiting a Topgolf location, you may enter by mail (“Mail-In Entry”). On a hand-addressed 4”x6” postcard, print by hand, in block letters the following information: first name, last name, phone number, address, email address, state of residence, ZIP code and date of birth. The postcard must be mailed to:

Upon receipt of an eligible Mail-In Entry during the Contest Period, a Topgolf scratch-off will be mailed to the address included in the Mail-In Entry. The scratch-off may result in winning one of the prizes, as further set forth in Section 8. If the Topgolf scratch-off results in a prize, you must contact the Participating Topgolf Venue to coordinate picking up and/or delivery of your prize. Prizes not picked-up or claimed by January 17, 2025, will be void and will not be substituted. Individuals who submit a Mail-In Entry will automatically submit a Grand Prize Entry. The contact information submitted with the Mail-In Entry will be used for the Grand Prize Entry.

By entering this Contest, you agree that you have read and understand these Official Rules. All participants who have duly completed and submitted an In-Person Entry, Mail-In Entry, or a Grand Prize Entry (an “Entry” or “Entries”) will be referred to collectively as the “Entrants” or individually as an “Entrant”. Entries will not be acknowledged by Sponsor.

For the purpose of these Official Rules, the Entrant is the person who (i) receives the golden ball for an In-Person Entry and is indicated as the contact person in the Grand Prize Entry, or (ii) is indicated as the contact person for a Mail-In Entry. Potential winners may be required to show proof of being the authorized account holder of the potentially winning Entry. Entries made by bots, other automated devices, commercial Contest subscription, or entering services are ineligible.

All Entries are subject to audit by Sponsor. Any Entry that is incomplete, fraudulent, copied, illegible, received late, discriminatory, defamatory, offensive, obscene, vulgar or against good morals or prejudicial to Sponsor, its subsidiaries, affiliated companies, parent corporations, their employees, agents, representatives, directors and officers, its advertising and promotion agencies or any other person related in any manner whatsoever to Sponsor will automatically be rejected and will not be eligible for the Prize. Sponsor is not responsible for Entries received outside of the Contest Period for any reason.

7) LIMIT ON THE NUMBER OF ENTRIES: All participants can enter the Contest one (1) time. Submitting the same Entry more than once does not increase the Entrant’s chances of winning. Subsequent prospective entries will be null and void.

8) PRIZES:

There are two (2) categories of prizes.

(A) SCRATCH-OFF PRIZES

One thousand (1,000) In-Person Entrants or Mail-In Entrants may be eligible to win one (1) of the following prizes through the Topgolf scratch-off ticket (collectively the “Scratch-Off Prizes”):

There are 200 of each Scratch-Off Prize available. The ARV of each Scratch-Off Prize varies depending on the Scratch-Off Prize won. The total ARV of the Scratch-off Prizes is $26,200.

(B) GRAND PRIZE

One (1) Grand Prize Entrant will be selected to win (the “Winner”) a PlayStation 5 (ARV $375.00) and a $500.00 Topgolf Gift Card (ARV $500.00) (“Grand Prize”). All charges incurred in connection with the use of the Grand Prize are the sole responsibility of the holder. The terms and conditions relating to the use of the Topgolf Gift Card may change overtime in Sponsor’s sole discretion and is subject to gameplay availability and terms and conditions of the participating venues whereby the Topgolf Gift Card is utilized. Topgolf Gift Cards may be subject to expiration dates disclosed at the time of prize notification. Allow up to one month for verification and delivery of prize. The total ARV of the Grand Prize is $875.00.

9) CONDITIONS APPLICABLE TO PRIZE:

The following conditions apply to the Prize:

1) Unless explicitly included in the Prize description above, all costs, charges or expenses, including without limitation air transportation, all other traveling expenses, money allocation, all taxes (including income, airport, hospitality or other taxes if applicable), insurance, fuel surcharges, travel related fees and items of a personal nature, passports and other travel documents, meals and beverages, internet access charges, bar and wine charges, souvenirs, room service, gratuities and local and long distance telephone calls are the sole responsibility of the Winner (as defined below) and his/her guests.

2) If the Prize or any part of the Prize is not used, no compensation will be awarded to the Winner and/or his/her guests.

3) All Prizes are while supplies last. Once the Prizes run out, no additional Prizes will be awarded;

4) The Prize cannot be accepted by the Winner in whole or in part. If the Prize is refused, the Winner shall not be entitled to claim any part of the Prize that he/she has refused and Sponsor shall be released of any obligations pertaining to such refused part of the Prize;

5) All federal, state or local taxes are the sole responsibility of Winner and/or his/her guests;

6) No Prize substitution or cash redemption allowed by the Winner. The Prize is not transferable. Prize can only be used by the Winner and cannot be assigned, given, or transferred to anyone else. Sponsor reserves the right to substitute a prize of comparable or greater value in its sole discretion;

7) The Prize will be connected to a Topgolf Membership account associated with Winner. It is the responsibility of Winner to ensure that their membership account is kept updated with accurate contact information;

8) Winner may contact a Sponsor employee at a participating venue with questions or concerns relating to the Prize or the use of the Prize.

10) RANDOM DRAW, WINNER NOTIFICATION AND SELECTION OF ALTERNATE WINNER:

The Winner of the Contest will be randomly selected from all eligible Grand Prize Entries received at the end of the Contest Period. Sponsor’s computer is the official timekeeper for the Contest. All winners will be subject to verification of eligibility and compliance with these Official Rules.

The selected Entrant will be notified by phone or email that was included on the Grand Prize Entry within five (5) business days after the end of the Contest Period. In the event the selected Entrant:

1) is unreachable within seventy-two (72) hours following first attempted contact;
2) does not or cannot reply within seventy-two (72) hours of being notified; or
3) fails to comply with all the conditions of these Official Rules;

such selected Entrant will forfeit the Prize. The forfeited Prize may be awarded to an alternate winner based on the second-highest score received from all remaining eligible Entries received for the Contest (the “Alternate Winner”). Any Alternate Winners will be chosen in Sponsor’s sole discretion.

11) WINNER QUALIFICATION:

In order to be declared Winner, the Entrant selected pursuant to Section 10 above must meet the following conditions:

1) Compliance with these Official Rules and conditions for eligibility;
2) Complete and return to Sponsor, within three (3) days of receipt, an affidavit or other document of eligibility, liability/publicity release and compliance with the Official Rules, confirming his/her compliance with the Official Rules, and releasing Sponsor, and its respective subsidiaries, affiliated companies, controlling corporations, employees, agents, representatives, administrators and officers, advertising or promotion agencies, sponsors, suppliers of materials, prizes and services related to the Contest, or any other person directly associated with the holding of the Contest from all liability, and except where prohibited by law, permitting Sponsor, and its representatives to use the selected Entrant’s name, photographs, likeness, statement concerning the prize, place of residence, without compensation, in any publicity carried out by Sponsor, and for any required disclosures without selected Entrant’s consent (“Winner’s Declaration Form”).

Failure of the selected Entrant to meet any of the above-mentioned conditions will result in the selected Entrant’s automatic disqualification and loss of entitlement to his/her Prize. In such event, Sponsor shall have the right to select another Entrant as described in Section 10 until the Alternate Winner has been determined and qualifies.

12) RELEASES, LIMITATIONS OF LIABILITY AND DISCLAIMERS:

BY ENTERING THE CONTEST, ENTRANTS AGREE TO BE BOUND BY THESE OFFICIAL RULES, AND AGREE TO RELEASE AND HOLD HARMLESS SPONSOR, AND ITS RESPECTIVE EMPLOYEES, AGENTS AND REPRESENTATIVES, ITS SUBSIDIARIES, ITS AFFILIATED COMPANIES, ITS CONTROLLING CORPORATIONS, ADVERTISING OR PROMOTION AGENCIES, CO-SPONSORS, SUPPLIERS OF MATERIALS, PRIZES AND SERVICES RELATED TO THE CONTEST, OR ANY OTHER PERSON DIRECTLY ASSOCIATED WITH THE HOLDING OF THE CONTEST (“RELEASED PARTIES”) FROM ANY AND ALL LIABILITY WHATSOEVER FOR LOSSES OR DAMAGES OF ANY KIND THAT RESULT FROM ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE OR FROM ENTRY OR ATTEMPTED ENTRY INTO THE CONTEST. THE RELEASED PARTIES ASSUME NO LIABILITY FOR LOST OR MISDIRECTED ENTRIES, WHETHER DUE TO TECHNICAL OR COMPUTER MALFUNCTIONS OR OTHERWISE OR ANY OTHER TECHNICAL OR COMPUTER MALFUNCTIONS, FRAUD, OR OTHER ERRORS. SPONSOR RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO CANCEL, TERMINATE OR SUSPEND THE CONTEST IN ITS ENTIRETY, IN THE EVENT THAT THE WEBSITE IS INFECTED BY A VIRUS, A SOFTWARE BUG, THE WEBSITE IS HACKED, UNAUTHORIZED HUMAN INTERVENTION OCCURS OR THE INTEGRITY, ADMINISTRATION, IMPARTIALITY OR NORMAL OPERATION OF THE CONTEST IS COMPROMISED IN ANY WAY. IF THE CONTEST IS CANCELLED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO THOSE STATED ABOVE, WINNER WILL BE DETERMINED VIA RANDOM DRAWING FROM AMONG ALL ELIGIBLE AND COMPLIANT ENTRIES RECEIVED UP TO THE TIME OF CANCELLATION. THE WINNER ACKNOWLEDGES THAT THE RELEASED PARTIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PRIZE. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF THE LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

13) PERSONAL INFORMATION RETENTION RULES FOR CONTEST:

When entering the Contest, Entrants agree that their personal information collected by Sponsor (“Personal Information”) shall be used in accordance with applicable laws in order for Sponsor or its agent to contact the Entrants for the purposes of the Contest. By participating in this Contest, the Entrant consents that Sponsor may use Entrant’s name, mailing address, and email address for the purposes of managing Entrant’s participation. Information collected from Entrants is subject to Sponsor’s Privacy Policy. Winners’ names may be included in a publicly available winners list. At any time you may revoke your consent and exercise your rights of objection, access, rectification and cancellation by addressing your notice to privacytg@topgolf.com.

14) PUBLICITY RELEASE:

By participating in the Contest, the Winner grants to Sponsor, and its representatives, affiliates, licensees and assigns, the right and permission to record, film, videotape and photograph the Winner (“Images”). These Images will be owned by Sponsor. Sponsor and each of its designees shall have the right to use, re-use, reproduce, publish, display, exhibit, distribute, edit, adapt, post, stream, copy and exploit such Images, and all elements embodied therein, including any names, likenesses, address, voice, conversation, biographical and Prize information and any other attributes of Winner, individually or with others, in whole or in part, in conjunction with other material, if any, in any and all media now known or hereafter devised, for the purpose of trade, advertising, publicity, promotion, or a Contest Winner List or any other lawful purpose whatsoever, in perpetuity, throughout the world, without additional compensation, consideration, notification or permission, except where prohibited by law.

16) DISPUTES:

Except where prohibited, Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards against one or more of the Releasees shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees (or other professionals’ fees); and (iii) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim and/or seek indirect, punitive, incidental, special and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any all rights to have damages multiplied or otherwise increased.

Each Entrant must be the rightful owner or have authorized use of the email account or mobile telephone account associated with the Entrant’s submitted email address and/or mobile telephone number (if provided). If a dispute arises about who submitted an entry, the entry will be deemed submitted by the authorized account holder of the email account or mobile telephone account provided, as applicable. The “authorized account holder” is deemed the natural person who is (i) assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address; or (ii) assigned to a mobile telephone number by a wireless carrier or other entity responsible for assigning that mobile telephone number. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder associated with a winning entry and that all eligibility requirements are met.

17) GOVERNING LAW:

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas. By entering (or participating in any Contest-related activity), Entrants (and others) agree that all proceedings shall exclusively take place in the United States District Court for the Northern District of Texas or Texas State Court located in Dallas, Texas.

VOID WHERE PROHIBITED BY LAW
