TOPGOLF “GREEN BALL” SWEEPSTAKES OFFICIAL RULES

1. SPONSOR

The “Green Ball” Sweepstakes (“Sweepstakes”) is administered and sponsored by Topgolf Media, LLC. (“Sponsor”).

2. AGREEMENT TO OFFICIAL RULES

By entering the Sweepstakes, Entrants (as defined below) agree to be bound by the following general conditions (“Official Rules”) and decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning the prize is contingent upon fulfilling all requirements set forth herein.

3. SWEEPSTAKES DATES

The Sweepstakes runs from April 10, 2026, through April 12, 2026 (“Sweepstakes Period”) and is subject to the Official Rules. Sponsor’s servers are the official time-keeping device for the Sweepstakes. The exact start and end time will depend on the operating hours of the participating Topgolf venue.

4. ODDS OF WINNING

Odds of winning the prize depend on the number of eligible entries received during the Sweepstakes Period. Any attempt or suspected attempt to submit entries by using multiple e-mail addresses or social media accounts, or any use of robotic, bot, automatic, programmed, or any entry methods not authorized by these rules shall be deemed as tampering and will void all of your entries.

5. WHO CAN ENTER

The Sweepstakes is open to all legal residents of the United States (including the District of Columbia) excluding Florida, the U.S. Virgin Islands and other U.S. territories and possessions and where prohibited by law who have reached the age of 18 or the age of majority in the jurisdiction where entrant resides (whichever is older) at the time they enter the Sweepstakes. Employees, agents and representatives of Topgolf and/or of any of Topgolf’s respective subsidiaries, affiliated companies, controlling corporations, advertising or promotion agencies, sponsors, suppliers of materials, prizes and services related to the Sweepstakes, or any other person directly associated with the organization of the Sweepstakes, as well as members of their immediate families (father, mother, brothers, sisters, children), their legal or common law spouse, and any persons residing with these employees, representatives and agents are not eligible to participate.

6. HOW TO ENTER

NO PURCHASE NECESSARY. There are two ways to enter the Sweepstakes:

(A) IN-PERSON METHOD OF ENTRY

To enter in person, you must play a game of Topgolf at any Topgolf venue in the United States participating in the Sweepstakes (each a “Participating Topgolf Venue” or collectively the “Participating Topgolf Venues”) during the Sweepstakes Period (“In-Person Entry”). You must consult with your applicable Participating Topgolf Venue for hours of operation, venue closures, and other details that may impact or otherwise apply to your In-Person Entry at the Participating Topgolf Venue. Florida venues are not participating in the Sweepstakes. Green golf balls will be randomly distributed throughout the Participating Topgolf Venue during Topgolf gameplay throughout the Sweepstakes Period. If you receive a green ball, you must bring the green ball to a Topgolf Playmaker. Once Topgolf management verifies the green ball, a Topgolf employee will provide you with a prize at random (see Section 8).

(B) MAIL-IN ENTRY

To enter without purchase or without visiting a Topgolf location, you may enter by mail (“Mail-In Entry”). On a hand-addressed 4”x6” postcard, print by hand, in block letters the following information: first name, last name, phone number, address, email address, state of residence, ZIP code and date of birth. The postcard must be mailed to:

To enter without purchase or without visiting a Topgolf location, you may enter by mail (“Mail-In Entry”). All Mail-In Entries must be individually sent in separate envelopes with sufficient postage and received by Sponsor no later than 11:59 P.M. CT at the end of the Sweepstakes Period. Upon receipt of an eligible Mail-In Entry during the Sweepstakes Period, you will be automatically entered into the Sweepstakes. Mail-In Entries that are incorrectly addressed, unclear or illegible, received before or after the Sweepstakes Period, or otherwise do not comply with the requirements of these Official Rules will be ineligible for prize redemption. The contact information submitted with the Mail-In Entry will be used by Sponsor to contact you in the event you are selected as a winner of the Sweepstakes.

By entering this Sweepstakes, you agree that you have read and understand these Official Rules. All participants who have duly completed and submitted an In-Person Entry, Mail-In Entry, or a Grand Prize Entry (an “Entry” or “Entries”) will be referred to collectively as the “Entrants” or individually as an “Entrant”. Entries will not be acknowledged by Sponsor.

For the purpose of these Official Rules, the Entrant is the person who (i) receives the green ball for an In-Person Entry, or (ii) is indicated as the contact person for a Mail-In Entry. Potential winners may be required to show proof of being the authorized account holder of the potentially winning Entry. Entries made by bots, other automated devices, commercial Sweepstakes subscription, or entering services are ineligible.

All Entries are subject to audit by Sponsor. Sponsor is not responsible for lost, early, late, incomplete, invalid, unintelligible, illegible, misdirected, or posted-due Mail-In Entries, which will be disqualified. Entries submitted by script, macro, computerized or other mechanical means, or entries which are not in compliance with or otherwise subvert the entry process may be declared void in Sponsor’s sole discretion. Any entry that is incomplete, fraudulent, copied, illegible, received late, discriminatory, defamatory, offensive, obscene, vulgar or against good morals or prejudicial to Sponsor, its subsidiaries, affiliated companies, parent corporations, their employees, agents, representatives, directors and officers, its advertising and promotion agencies or any other person related in any manner whatsoever to Sponsor will automatically be rejected and will not be eligible. All Entries are property of Sponsor and will not be returned. Sponsor is not responsible for Entries received outside of the Sweepstakes Period for any reason.

7. LIMIT ON THE NUMBER OF ENTRIES

All participants can enter the Sweepstakes one (1) time. Submitting the same Entry more than once does not increase the Entrant’s chances of winning. Subsequent prospective entries will be null and void.

8. PRIZES

During the Sweepstakes Period, thirty (30) entrants per Participating Topgolf Venue who receives the green ball will receive one of the following prizes (each a “Prize” or collectively the “Prizes"):

  • Ten (10) t-shirts (approximate retail value (“ARV”): $25.00 each)
  • Five (5) hats (ARV $39.00 each)
  • Five (5) water bottles (ARV $34.99 each)
  • Five (5) tumblers (ARV $29.99 each)
  • Five (5) driver head covers (ARV $39.99 each).

Each eligible In-Person entrant who receives a green ball will win one of the foregoing prizes. All Mail-In Entrants will be entered into a drawing to win. All Prizes are subject to availability. The specific prize will be awarded in Sponsor’s discretion. Each eligible Entrant who receives a Prize is a “Winner”. Sponsor must receive Winner’s Declaration form (as described further in Section 12) as a condition to receiving the Prize. Sponsor reserves the right to change, update, replace, substitute, or modify the Prize or any of the Prizes at any time in its sole discretion.

There are approximately 2,730 Prizes available, and each Prize has an ARV as outlined above. The total ARV of the Sweepstakes is $88,256.35. The Prize or Prizes are not redeemable for cash. No substitution, assignment or transfer of the Prize is permitted, except by Sponsor, who reserves the right to substitute the Prize or Prizes with another of equal or greater value in its sole discretion. The Winner is responsible for all taxes and fees associated with Prize receipt and/or use.

The odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

9. CONDITIONS APPLICABLE TO PRIZE

The following conditions apply to the Prize:

1) Unless explicitly included in the Prize description above, all costs, charges, meals and beverages, and other expenses are the sole responsibility of Winner.

2) If the Prize or any part of the Prize is not used, no compensation will be awarded to the Winner;

3) All Prizes are while supplies last. Once the Prizes run out, no additional Prizes will be awarded.

4) The Prize cannot be accepted by the Winner in whole or in part. If the Prize is refused, the Winner shall not be entitled to claim any part of the Prize that he/she has refused and Sponsor shall be released of any obligations pertaining to such refused part of the Prize;

5) All federal, state or local taxes are the sole responsibility of Winner and/or his/her guests;

6) No Prize substitution or cash redemption allowed by the Winner. The Prize is not transferable. Prize can only be used by the Winner and cannot be assigned, given, or transferred to anyone else. Sponsor reserves the right to substitute a prize of comparable or greater value in its sole discretion;

7) Prizes issued by Sponsor for Entrants that submitted an In-Person Entry must be connected to a Topgolf Membership account associated with Winner. It is the responsibility of Winner to ensure that their membership account is kept updated with accurate contact information;

8) Winner may contact a Sponsor employee at a Participating Topgolf Venue with questions or concerns relating to the Prize or the use of the Prize.

10. RANDOM DRAW, WINNER NOTIFICATION AND SELECTION OF ALTERNATE WINNER

Sponsor’s computer is the official timekeeper for the Sweepstakes. All winners will be subject to verification of eligibility and compliance with these Official Rules. Notification to Entrants that they have received a Prize will depend on whether the potential Winner is eligible to receive a Prize based on an In-Person Entry or a Mail-In Entry:

A. IN-PERSON METHOD OF ENTRY: Once the potential Winner receives a green ball in accordance with Section 6, the potential Winner will receive the Prize while at the Participating Topgolf Venue directly after Topgolf management verifies the green ball in accordance with Section 6. Failure to notify a Topgolf playmaker or management that you have received a green ball will result in a forfeiture of the Prize. The Prize must be collected while at the Participating Topgolf Venue directly after receiving the green ball.

B. MAIL-IN METHOD OF ENTRY: Thirty (30) Mail-In Entrants will be randomly selected from all eligible Mail-in Entries received at the end of the Sweepstakes Period. The selected Entrant will be notified by phone or email within ten (10) business days after the end of the Sweepstakes Period. In the event the selected Entrant:

1) is unreachable within seventy-two (72) hours following first attempted contact;

2) does not or cannot reply within seventy-two (72) hours of being notified; or

3) fails to comply with all the conditions of these Official Rules;

such selected Entrant will forfeit the Prize. The forfeited Prize may be awarded to an alternate winner based on the second-highest score received from all remaining eligible Entries received for the Sweepstakes (the “Alternate Winner”). Any Alternate Winners will be chosen in Sponsor’s sole discretion.

11. WINNER QUALIFICATION

In order to be declared Winner, the Entrant selected pursuant to Section 10 above must meet the following conditions:

1) Compliance with these Official Rules and conditions for eligibility;

2) Complete and return to Sponsor an affidavit or other document of eligibility, liability/publicity release and compliance with the Official Rules, confirming his/her compliance with the Official Rules, and releasing Sponsor, and its respective subsidiaries, affiliated companies, controlling corporations, employees, agents, representatives, administrators and officers, advertising or promotion agencies, sponsors, suppliers of materials, prizes and services related to the Sweepstakes, or any other person directly associated with the holding of the Sweepstakes from all liability, and except where prohibited by law, permitting Sponsor, and its representatives to use the selected Entrant’s name, photographs, likeness, statement concerning the prize, place of residence, without compensation, in any publicity carried out by Sponsor, and for any required disclosures without selected Entrant’s consent (“Winner’s Declaration Form”).

Failure of the selected Entrant to meet any of the above-mentioned conditions will result in the selected Entrant’s automatic disqualification and loss of entitlement to his/her Prize. In such event, Sponsor shall have the right to select another Entrant as described in Section 10 until the Alternate Winner has been determined and qualifies.

12. RELEASES, LIMITATIONS OF LIABILITY AND DISCLAIMERS

BY ENTERING THE SWEEPSTAKES, ENTRANTS AGREE TO BE BOUND BY THESE OFFICIAL RULES, AND AGREE TO RELEASE AND HOLD HARMLESS SPONSOR, AND ITS RESPECTIVE EMPLOYEES, AGENTS AND REPRESENTATIVES, ITS SUBSIDIARIES, ITS AFFILIATED COMPANIES, ITS CONTROLLING CORPORATIONS, ADVERTISING OR PROMOTION AGENCIES, CO-SPONSORS, SUPPLIERS OF MATERIALS, PRIZES AND SERVICES RELATED TO THE SWEEPSTAKES, OR ANY OTHER PERSON DIRECTLY ASSOCIATED WITH THE HOLDING OF THE SWEEPSTAKES (“RELEASED PARTIES”) FROM ANY AND ALL LIABILITY WHATSOEVER FOR LOSSES OR DAMAGES OF ANY KIND THAT RESULT FROM ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE OR FROM ENTRY OR ATTEMPTED ENTRY INTO THE SWEEPSTAKES. THE RELEASED PARTIES ASSUME NO LIABILITY FOR LOST OR MISDIRECTED ENTRIES, WHETHER DUE TO TECHNICAL OR COMPUTER MALFUNCTIONS OR OTHERWISE OR ANY OTHER TECHNICAL OR COMPUTER MALFUNCTIONS, FRAUD, OR OTHER ERRORS. SPONSOR RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO CANCEL, TERMINATE OR SUSPEND THE SWEEPSTAKES IN ITS ENTIRETY, IN THE EVENT THAT THE WEBSITE IS INFECTED BY A VIRUS, A SOFTWARE BUG, THE WEBSITE IS HACKED, UNAUTHORIZED HUMAN INTERVENTION OCCURS OR THE INTEGRITY, ADMINISTRATION, IMPARTIALITY OR NORMAL OPERATION OF THE SWEEPSTAKES IS COMPROMISED IN ANY WAY. IF THE SWEEPSTAKES IS CANCELLED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO THOSE STATED ABOVE, WINNER WILL BE DETERMINED VIA RANDOM DRAWING FROM AMONG ALL ELIGIBLE AND COMPLIANT ENTRIES RECEIVED UP TO THE TIME OF CANCELLATION. THE WINNER ACKNOWLEDGES THAT THE RELEASED PARTIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PRIZE. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF THE LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

13. PERSONAL INFORMATION RETENTION RULES FOR SWEEPSTAKES

When entering the Sweepstakes, Entrants agree that their personal information collected by Sponsor (“Personal Information”) shall be used in accordance with applicable laws in order for Sponsor or its agent to contact the Entrants for the purposes of the Sweepstakes. By participating in this Sweepstakes, the Entrant consents that Sponsor may use Entrant’s name, mailing address, and email address for the purposes of managing Entrant’s participation. Information collected from Entrants is subject to Sponsor’s Privacy Policy. Winners’ names may be included in a publicly available winners list. At any time you may revoke your consent and exercise your rights of objection, access, rectification and cancellation by addressing your notice to privacytg@topgolf.com.

14. PUBLICITY RELEASE

By participating in the Sweepstakes, the Winner grants to Sponsor, and its representatives, affiliates, licensees and assigns, the right and permission to record, film, videotape and photograph the Winner (“Images”). These Images will be owned by Sponsor. Sponsor and each of its designees shall have the right to use, re-use, reproduce, publish, display, exhibit, distribute, edit, adapt, post, stream, copy and exploit such Images, and all elements embodied therein, including any names, likenesses, address, voice, conversation, biographical and Prize information and any other attributes of Winner, individually or with others, in whole or in part, in conjunction with other material, if any, in any and all media now known or hereafter devised, for the purpose of trade, advertising, publicity, promotion, or a Sweepstakes Winner List or any other lawful purpose whatsoever, in perpetuity, throughout the world, without additional compensation, consideration, notification or permission, except where prohibited by law.

15. REQUESTS FOR OFFICIAL RULES AND INFORMATION

16. DISPUTES

Except where prohibited, Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards against one or more of the Releasees shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees (or other professionals’ fees); and (iii) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim and/or seek indirect, punitive, incidental, special and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any all rights to have damages multiplied or otherwise increased.

Each Entrant must be the rightful owner or have authorized use of the email account or mobile telephone account associated with the Entrant’s submitted email address and/or mobile telephone number (if provided). If a dispute arises about who submitted an entry, the entry will be deemed submitted by the authorized account holder of the email account or mobile telephone account provided, as applicable. The “authorized account holder” is deemed the natural person who is (i) assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address; or (ii) assigned to a mobile telephone number by a wireless carrier or other entity responsible for assigning that mobile telephone number. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder associated with a winning entry and that all eligibility requirements are met.

17. GOVERNING LAW

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas. By entering (or participating in any Sweepstakes-related activity), Entrants (and others) agree that all proceedings shall exclusively take place in the United States District Court for the Northern District of Texas or Texas State Court located in Dallas, Texas.

All Entries are property of Sponsor and will not be returned. Sponsor is not responsible for Entries received outside of the Sweepstakes Period for any reason.

7. LIMIT ON THE NUMBER OF ENTRIES

All participants can enter the Sweepstakes one (1) time. Submitting the same Entry more than once does not increase the Entrant’s chances of winning. Subsequent prospective entries will be null and void.

8. PRIZES

During the Sweepstakes Period, fifteen (15) entrants per Participating Topgolf Venue who receives the green ball will receive one of the following prizes (each a “Prize” or collectively the “Prizes"):

  • Five (5) t-shirts (approximate retail value (“ARV”): $25.00 each)
  • Five (5) water bottles (ARV $34.99 each)
  • Five (5) driver head covers (ARV $39.99 each).

Each eligible In-Person entrant who receives a green ball will win one of the foregoing prizes. All Mail-In Entrants will be entered into a drawing to win. All Prizes are subject to availability. The specific prize will be awarded in Sponsor’s discretion. Each eligible Entrant who receives a Prize is a “Winner”. Sponsor must receive Winner’s Declaration form (as described further in Section 12) as a condition to receiving the Prize. Sponsor reserves the right to change, update, replace, substitute, or modify the Prize or any of the Prizes at any time in its sole discretion.

There are approximately 150 Prizes available, and each Prize has an ARV as outlined above. The total ARV of the Sweepstakes is $4,999.00. The Prize or Prizes are not redeemable for cash. No substitution, assignment or transfer of the Prize is permitted, except by Sponsor, who reserves the right to substitute the Prize or Prizes with another of equal or greater value in its sole discretion. The Winner is responsible for all taxes and fees associated with Prize receipt and/or use.

The odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

9. CONDITIONS APPLICABLE TO PRIZE

The following conditions apply to the Prize:

1) Unless explicitly included in the Prize description above, all costs, charges, meals and beverages, and other expenses are the sole responsibility of Winner.

2) If the Prize or any part of the Prize is not used, no compensation will be awarded to the Winner;

3) All Prizes are while supplies last. Once the Prizes run out, no additional Prizes will be awarded.

4) The Prize cannot be accepted by the Winner in whole or in part. If the Prize is refused, the Winner shall not be entitled to claim any part of the Prize that he/she has refused and Sponsor shall be released of any obligations pertaining to such refused part of the Prize;

5) All federal, state or local taxes are the sole responsibility of Winner and/or his/her guests;

6) No Prize substitution or cash redemption allowed by the Winner. The Prize is not transferable. Prize can only be used by the Winner and cannot be assigned, given, or transferred to anyone else. Sponsor reserves the right to substitute a prize of comparable or greater value in its sole discretion;

7) Prizes issued by Sponsor for Entrants that submitted an In-Person Entry must be connected to a Topgolf Membership account associated with Winner. It is the responsibility of Winner to ensure that their membership account is kept updated with accurate contact information;

8) Winner may contact a Sponsor employee at a Participating Topgolf Venue with questions or concerns relating to the Prize or the use of the Prize.

10. RANDOM DRAW, WINNER NOTIFICATION AND SELECTION OF ALTERNATE WINNER

Sponsor’s computer is the official timekeeper for the Sweepstakes. All winners will be subject to verification of eligibility and compliance with these Official Rules. Notification to Entrants that they have received a Prize will depend on whether the potential Winner is eligible to receive a Prize based on an In-Person Entry or a Mail-In Entry:

A. IN-PERSON METHOD OF ENTRY: Once the potential Winner receives a green ball in accordance with Section 6, the potential Winner will receive the Prize while at the Participating Topgolf Venue directly after Topgolf management verifies the green ball in accordance with Section 6. Failure to notify a Topgolf playmaker or management that you have received a green ball will result in a forfeiture of the Prize. The Prize must be collected while at the Participating Topgolf Venue directly after receiving the green ball.

B. MAIL-IN METHOD OF ENTRY: Fifteen (15) Mail-In Entrants will be randomly selected from all eligible Mail-in Entries received at the end of the Sweepstakes Period. The selected Entrant will be notified by phone or email within ten (10) business days after the end of the Sweepstakes Period. In the event the selected Entrant:

1) is unreachable within seventy-two (72) hours following first attempted contact;

2) does not or cannot reply within seventy-two (72) hours of being notified; or

3) fails to comply with all the conditions of these Official Rules;

such selected Entrant will forfeit the Prize. The forfeited Prize may be awarded to an alternate winner based on the second-highest score received from all remaining eligible Entries received for the Sweepstakes (the “Alternate Winner”). Any Alternate Winners will be chosen in Sponsor’s sole discretion.

11. WINNER QUALIFICATION

In order to be declared Winner, the Entrant selected pursuant to Section 10 above must meet the following conditions:

1) Compliance with these Official Rules and conditions for eligibility;

2) Complete and return to Sponsor an affidavit or other document of eligibility, liability/publicity release and compliance with the Official Rules, confirming his/her compliance with the Official Rules, and releasing Sponsor, and its respective subsidiaries, affiliated companies, controlling corporations, employees, agents, representatives, administrators and officers, advertising or promotion agencies, sponsors, suppliers of materials, prizes and services related to the Sweepstakes, or any other person directly associated with the holding of the Sweepstakes from all liability, and except where prohibited by law, permitting Sponsor, and its representatives to use the selected Entrant’s name, photographs, likeness, statement concerning the prize, place of residence, without compensation, in any publicity carried out by Sponsor, and for any required disclosures without selected Entrant’s consent (“Winner’s Declaration Form”).

Failure of the selected Entrant to meet any of the above-mentioned conditions will result in the selected Entrant’s automatic disqualification and loss of entitlement to his/her Prize. In such event, Sponsor shall have the right to select another Entrant as described in Section 10 until the Alternate Winner has been determined and qualifies.

12. RELEASES, LIMITATIONS OF LIABILITY AND DISCLAIMERS

BY ENTERING THE SWEEPSTAKES, ENTRANTS AGREE TO BE BOUND BY THESE OFFICIAL RULES, AND AGREE TO RELEASE AND HOLD HARMLESS SPONSOR, AND ITS RESPECTIVE EMPLOYEES, AGENTS AND REPRESENTATIVES, ITS SUBSIDIARIES, ITS AFFILIATED COMPANIES, ITS CONTROLLING CORPORATIONS, ADVERTISING OR PROMOTION AGENCIES, CO-SPONSORS, SUPPLIERS OF MATERIALS, PRIZES AND SERVICES RELATED TO THE SWEEPSTAKES, OR ANY OTHER PERSON DIRECTLY ASSOCIATED WITH THE HOLDING OF THE SWEEPSTAKES (“RELEASED PARTIES”) FROM ANY AND ALL LIABILITY WHATSOEVER FOR LOSSES OR DAMAGES OF ANY KIND THAT RESULT FROM ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE OR FROM ENTRY OR ATTEMPTED ENTRY INTO THE SWEEPSTAKES. THE RELEASED PARTIES ASSUME NO LIABILITY FOR LOST OR MISDIRECTED ENTRIES, WHETHER DUE TO TECHNICAL OR COMPUTER MALFUNCTIONS OR OTHERWISE OR ANY OTHER TECHNICAL OR COMPUTER MALFUNCTIONS, FRAUD, OR OTHER ERRORS. SPONSOR RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO CANCEL, TERMINATE OR SUSPEND THE SWEEPSTAKES IN ITS ENTIRETY, IN THE EVENT THAT THE WEBSITE IS INFECTED BY A VIRUS, A SOFTWARE BUG, THE WEBSITE IS HACKED, UNAUTHORIZED HUMAN INTERVENTION OCCURS OR THE INTEGRITY, ADMINISTRATION, IMPARTIALITY OR NORMAL OPERATION OF THE SWEEPSTAKES IS COMPROMISED IN ANY WAY. IF THE SWEEPSTAKES IS CANCELLED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO THOSE STATED ABOVE, WINNER WILL BE DETERMINED VIA RANDOM DRAWING FROM AMONG ALL ELIGIBLE AND COMPLIANT ENTRIES RECEIVED UP TO THE TIME OF CANCELLATION. THE WINNER ACKNOWLEDGES THAT THE RELEASED PARTIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PRIZE. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF THE LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

13. PERSONAL INFORMATION RETENTION RULES FOR SWEEPSTAKES

When entering the Sweepstakes, Entrants agree that their personal information collected by Sponsor (“Personal Information”) shall be used in accordance with applicable laws in order for Sponsor or its agent to contact the Entrants for the purposes of the Sweepstakes. By participating in this Sweepstakes, the Entrant consents that Sponsor may use Entrant’s name, mailing address, and email address for the purposes of managing Entrant’s participation. Information collected from Entrants is subject to Sponsor’s Privacy Policy. Winners’ names may be included in a publicly available winners list. At any time you may revoke your consent and exercise your rights of objection, access, rectification and cancellation by addressing your notice to privacytg@topgolf.com.

14. PUBLICITY RELEASE

By participating in the Sweepstakes, the Winner grants to Sponsor, and its representatives, affiliates, licensees and assigns, the right and permission to record, film, videotape and photograph the Winner (“Images”). These Images will be owned by Sponsor. Sponsor and each of its designees shall have the right to use, re-use, reproduce, publish, display, exhibit, distribute, edit, adapt, post, stream, copy and exploit such Images, and all elements embodied therein, including any names, likenesses, address, voice, conversation, biographical and Prize information and any other attributes of Winner, individually or with others, in whole or in part, in conjunction with other material, if any, in any and all media now known or hereafter devised, for the purpose of trade, advertising, publicity, promotion, or a Sweepstakes Winner List or any other lawful purpose whatsoever, in perpetuity, throughout the world, without additional compensation, consideration, notification or permission, except where prohibited by law.

16. DISPUTES

Except where prohibited, Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards against one or more of the Releasees shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees (or other professionals’ fees); and (iii) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim and/or seek indirect, punitive, incidental, special and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any all rights to have damages multiplied or otherwise increased.

Each Entrant must be the rightful owner or have authorized use of the email account or mobile telephone account associated with the Entrant’s submitted email address and/or mobile telephone number (if provided). If a dispute arises about who submitted an entry, the entry will be deemed submitted by the authorized account holder of the email account or mobile telephone account provided, as applicable. The “authorized account holder” is deemed the natural person who is (i) assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address; or (ii) assigned to a mobile telephone number by a wireless carrier or other entity responsible for assigning that mobile telephone number. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder associated with a winning entry and that all eligibility requirements are met.

17. GOVERNING LAW

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas. By entering (or participating in any Sweepstakes-related activity), Entrants (and others) agree that all proceedings shall exclusively take place in the United States District Court for the Northern District of Texas or Texas State Court located in Dallas, Texas.
